Muffler location

does muffler location really matter in regards to sound or performance? Below is a diagram. which one should it be or does it not matter?

The more piping after the muffler, the more it will resonate...ie, it will be louder.

could that also create stray sounds though? (having it up closer there i have it). im buying a new one because the flowmaster i have is going bad. when i first got it on my 300m it was awesome, now the more and more ive been driving it im getting this honking sound coming out of it, like i plate in there is loose. and correct me if im wrong flowmasters dont have a break in, plus i had it on the prelude for about 1 1/2 - 2 years so it cant be from switching cars.
